By accessing or using AiClone.me (“Site”), you agree to be bound by these Terms of Use (“Terms”). If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree with any part of these Terms, do not use the Site.

2. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use the Services. By using the Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

3. Description of Services

AiClone.me provides AI-powered tools and services, including but not limited to:

• Answer Engine Optimization (AEO) and brand monitoring.
• AI-driven pricing guidance for home services (plumbing, electrical, HVAC, pest control, etc.).
• Pricing intelligence for healthcare (e.g., doctors, dentists, veterinarians) and legal services (e.g., lawyers).
• Consumer surveys, viral trend prediction, and business intelligence.
• Booking functionality to connect users with independent, third-party service providers (“Providers”).

AiClone's core technology is powered by its proprietary Deterministic AI engine (U.S. Patent Pending - 63/889,596).

4. Account Registration & Security

You may need to register an account to use certain Services. You agree to:

• Provide accurate, current information.
• Maintain the confidentiality of your credentials.
• Notify us promptly of unauthorized access or security breaches.
• Accept responsibility for all activity under your account.

5. Intellectual Property

All content, software, design, trademarks, and documentation on AiClone.me are the property of AiClone, its affiliates, or licensors, protected by intellectual property laws.

• Proprietary technologies, including the Deterministic AI engine, models, schemas, guardrails, APIs are exclusively owned by AiClone.
• You may not reproduce, modify, distribute, or create derivative works without AiClone's prior written consent.
• Some components may be subject to open-source licenses. To the extent any such license expressly supersedes these Terms, that license controls for that component.

By making the public pages of this website accessible, AiClone.me grants the following limited, non-exclusive, worldwide, royalty-free license to reputable artificial-intelligence providers and their designated crawlers - including but not limited to:
OpenAI (GPTBot, ChatGPT-User), Anthropic (ClaudeBot), xAI (Grok), Google (Googlebot, Google-Extended, Gemini), Microsoft / Bing, Perplexity AI, Cohere, Mistral AI, Inflection AI (Pi), Meta AI (LLaMA / FacebookBot), DuckDuckGo, You.com, Amazon / AWS AI, and other major LLM research or indexing systems that publicly identify themselves via standard user-agent strings.

The scope of this license includes the right to: Crawl, cache, and index publicly available pages of this website for purposes of search, retrieval-augmented answering, and reference display within conversational assistants. Reproduce and analyze such content in connection with training, fine-tuning, evaluating, or benchmarking AI and machine-learning models. Generate derived embeddings or vector representations for semantic search and AI interaction purposes.

Exclusions:

• This license does not extend to non-public areas of the site (e.g., behind login, user profiles, admin panels, or URLs disallowed via robots.txt or meta tags). It does not authorize resale or commercial redistribution of AiClone’s content in standalone form.

• Any crawler or model not listed above but claiming to be an LLM or AI assistant must publicly identify itself via a unique user-agent string to rely on this license.

Revocation and Notice:
AiClone reserves the right to modify or revoke this license at any time by updating this Terms of Service, publishing a new /robots.txt or /ai-permissions file, or providing written notice to specific AI providers. Revocation will apply prospectively only and shall not affect uses of content lawfully obtained prior to the update.

6. User Content

You may submit information, brand names, data, survey input, and other materials (“User Content”):

• You retain ownership of your User Content.
• You grant AiClone a non-exclusive, royalty-free, worldwide license to use, process, display, and create derivative works of your User Content for providing the Services, improving offerings, marketing, and legal compliance.
• You represent and warrant you have the necessary rights and that your User Content does not infringe third-party rights.

You also grant AiClone a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, publish, translate, distribute, display, and create derivative works from any reviews, feedback, or ratings you submit (subject to Section 11).

7. Privacy & Data

Your use of the Site is subject to our Privacy Policy., which explains how we collect, use, and share data. By using AiClone.me, you consent to those practices.

8. Prohibited Conduct

You agree not to:

• Use the Site unlawfully or fraudulently.
• Interfere with Site security or access systems without authorization.
• Reverse engineer, decompile, disassemble, scrape, extract, copy, or otherwise attempt to derive the source code, algorithms, guardrails, training data, schemas, proprietary methods, or business logic of AiClone's technology, including but not limited to its Deterministic AI engine, APIs, or outputs.
• Conduct or publicly disclose performance benchmarks, competitive evaluations, or technical tests of AiClone's Services for commercial purposes without AiClone's prior written consent. This restriction does not limit your ability to share personal experiences, opinions, or reviews as permitted by applicable law.
• Train or fine-tune any machine learning model using AiClone outputs without express permission.
• Use the Services in high-risk activities where errors could result in death, personal injury, or severe damage (including nuclear facilities, aircraft navigation, or weapons systems).
• Upload viruses, malware, or harmful code.
• Misrepresent your identity or affiliation.
• Access the Services via bots, spiders, scrapers, or unsupported APIs, or bypass rate limits or access controls.

9. Fees, Billing, Payments & Transactions

• Subscription fees, platform/service fees, and billing cycles are published on the Site and subject to change.
• If you book services from a Provider, payment and cancellation terms are disclosed at checkout.
• Payments are processed via third-party processors (e.g., Stripe) and subject to their terms.
• You authorize AiClone and the processor to charge your payment method for amounts due, including taxes.
• You are responsible for chargebacks, payment disputes, and related penalties or fines.
• Unless required by law, fees are non-refundable.
• Auto-Renewal. Subscriptions renew automatically at the then-current rate unless canceled before renewal. Clear notice of renewal and cancellation procedures will be provided.

10. Third-Party Service Providers & Marketplace Terms

• AiClone connects you with independent Providers (e.g., plumbers, doctors, lawyers).
• Providers are independent contractors and not employees, agents, joint venturers, or partners of AiClone.
• AiClone does not supervise or control Providers' work, methods, or outcomes.
• Unless expressly stated, AiClone does not conduct full background checks or endorse Providers. Any screening is limited and not a guarantee of safety.
• Non-Circumvention. For 12 months after interacting with a Provider found via AiClone, you agree not to transact directly with that Provider outside the platform for substantially similar services, unless AiClone consents.
• No Insurance. AiClone does not provide insurance or protection. Users and Providers are solely responsible for appropriate insurance.
• Dispute Resolution. Any disputes between you and a Provider must be resolved directly between you and that Provider. AiClone is not responsible for mediating such disputes.

11. Ratings & Reviews / Consumer Review Fairness Act

• You are free to provide honest reviews, ratings, or feedback about your experiences. Nothing in these Terms restricts lawful consumer reviews under the Consumer Review Fairness Act (CRFA).
• AiClone may remove content that is unlawful, defamatory, harassing, deceptive, spam, or discloses others' personal/confidential information.

12. Healthcare & Legal Disclaimers

• AiClone is not a medical provider, law firm, or professional advisor. Information provided is for informational pricing guidance only and is not professional medical, legal, or financial advice.
• No doctor-patient or attorney-client relationship is created by using the Site.
• Emergency Disclaimer. Do not use AiClone for emergencies—call 911 or your local emergency number.

13. AI Outputs: Ownership & Disclaimers

• Except for AiClone's underlying technology, you own the outputs generated from your inputs.
• AiClone retains all rights to its models, schemas, guardrails, and algorithms.
• Outputs are informational estimates only and not guarantees of cost, performance, or outcome.
• Outputs must not be misused for fraud, misrepresentation, or unlawful purposes.
• You bear all responsibility for reliance on outputs in medical, legal, financial, or safety-critical contexts.

14. Export Control & Compliance

You may not use the Services in violation of U.S. export control, sanctions, or trade laws (including OFAC and Commerce Department restrictions).

15. DMCA & Copyright Infringement Policy

AiClone respects intellectual property rights. If you believe User Content infringes your copyright, you may submit a DMCA takedown notice to support@aiclone.me. AiClone may remove infringing content and terminate repeat infringers.

16. Communications & SMS Consent

• By creating an account, you consent to receive service, transactional, and administrative communications electronically.
• With your express consent, AiClone may send automated SMS messages (e.g., booking updates). Message frequency varies; message/data rates may apply. Reply STOP to opt out, HELP for help.
• You may opt out of promotional emails at any time via unsubscribe links

17. Service Availability, Modification & Beta Features

• AiClone may modify, suspend, or discontinue any Services or features at any time without liability.
• Certain features may be offered as “beta” or previews and are provided “as is,” may be unreliable, and may be discontinued at any time.

18. Disclaimers

The Site and Services are provided “as is” and as “available.” AiClone disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

AiClone does not guarantee uninterrupted or error-free operation or that outputs will meet expectations.

19. Force Majeure

AiClone is not liable for failure or delay caused by events beyond its reasonable control, including natural disasters, cyberattacks, strikes, outages, pandemics, or government actions.

20. Limitation of Liability

To the maximum extent permitted by Alabama and U.S. law:

• AiClone's total liability will not exceed the amounts paid by you in the 12 months preceding the claim.
• AiClone is not liable for indirect, incidental, consequential, or punitive damages.
• AiClone is not liable for acts, omissions, or services of Providers.
• AiClone is not liable for reliance on outputs in medical, legal, financial, or safety-critical contexts.

21. Indemnification

You agree to indemnify, defend, and hold harmless AiClone, its affiliates, officers, employees, and agents from any third-party claims, damages, or losses arising from your use of the Site, User Content, or breach of these Terms, including claims relating to Provider services you engage.

22. Suspension & Termination

AiClone may suspend or terminate your account immediately if you violate these Terms, engage in fraud, abuse, or conduct that may harm AiClone, its users, or third parties.

23. Arbitration & Dispute Resolution

• Disputes arising from these Terms or Services will be resolved by binding arbitration under AAA commercial rules in Jefferson County, Alabama.
• Class actions are not permitted.
• You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@aiclone.me.
• Either party may seek injunctive relief in court for intellectual property disputes.

24. Governing Law

These Terms are governed by the laws of Alabama and the United States. Venue lies exclusively in state or federal courts in Jefferson County, Alabama.

25. Modifications to Terms & Notices

AiClone may revise these Terms at any time. Notice will be posted on the Site or emailed. Continued use after changes constitutes acceptance.

Notices to you may be delivered by email or by posting on the Site. You must keep your contact details current.

26. Miscellaneous, Survival & Assignment

• Severability: If any provision is invalid, the rest remain in effect.
• No Waiver: AiClone's failure to enforce a right is not a waiver.
• Assignment: You may not assign these Terms without AiClone's consent. AiClone may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Survival: Sections 5-15, 17-23, and 26 survive termination.
• E-Sign Consent: You agree electronic acceptance of these Terms and delivery of notices electronically satisfies any legal requirement for writing or signatures.
